We are seeking a Corporate Secretarial professional to provide temporary maternity cover for Cleantech Solar Group's Singapore and Southeast Asia (SEA) entities (non-listed).
Seated in our Singapore office, this hands-on role offers a structured handover and requires a confident individual to manage board governance, corporate actions, and compliance matters across the Group's entities.
Reporting to the General Counsel – Vice President, the successful candidate will independently draft resolutions, interpret governance documents, and engage directly with shareholder representatives, directors, external counsels and service providers to ensure smooth operations during this period.
Key Responsibilities
1.
Board & Governance Support
- Coordinate and attend Board and Committee meetings; prepare agendas, circulate board packs, draft accurate minutes, and follow up on action items.
- Draft and review Board and shareholder resolutions in-house with minimal supervision.
- Advise on and comply with constitutions, shareholders' agreements, and internal governance policies, providing practical advice to management and directors.

Statutory & Compliance Oversight
- Oversee corporate compliance for Singapore and SEA entities, working closely with the internal teams and external corporate secretarial providers.
- Execute and coordinate statutory filings with ACRA and other regulators.
- Maintain compliance calendars to ensure deadlines are met without exception.
- Manage corporate actions including incorporations, capital changes, restructurings, director appointments, dissolutions, and amendments of constitutions.
- Oversee notarisation, legalisation, and apostille requirements for cross-border documentation.

Entity Management & Record Keeping
- Maintain statutory registers, corporate records, and a centralised entity database.
- Regularly review and update organisational charts and corporate structure diagrams.
- Ensure strong controls for safe custody and governance documentation management.

Stakeholder & Service Provider Management
- Act as a key point of contact in relation to corporate secretarial related matters for shareholder representatives, senior management, and internal teams (Finance, Treasury, Legal, BD).
- Manage external law firms and corporate secretarial service providers to ensure timely, accurate, and cost-effective delivery.
- Collaborate closely with colleagues across the Singapore office, SEA regional teams, and the India-based Legal and Corporate Secretarial team to ensure smooth entity and governance management across all jurisdictions.
Qualifications & Experience
- Chartered Secretary or equivalent qualification (CSIS/ICSA preferred) or a law degree with inhouse corporate legal experience.
- Strong experience in inhouse corporate secretarial work, with proven confidence in liaising directly with shareholder representatives, directors and senior stakeholders; such experience is preferred and will be considered an advantage.
- Excellent drafting, organisational, and communication skills; able to work independently and manage multiple priorities.
- Familiarity with renewable energy, infrastructure, or other capital-intensive industries, and experience working in a multinational organisation with APAC regional presence, is advantageous.
