Urgent! Next Gen Legal Counsel Job Opening In Singapore, Singapore – Now Hiring REAPRA PTE. LTD.

Next Gen Legal Counsel

Job description

At Reapra, our mission is to co-create industries for the betterment of society through Research and Practice.

Our core belief is in nurturing potential founders by dedicating ample time to develop their vision for addressing long-term systemic issues.

We view our current startups as the initial building blocks of a brighter future for generations to come.

Our primary focus is on individuals and their commitment to solving these very long-term challenges while not relying on trending technology or hot business ideas.

This distinctive approach influences how we identify potential founders, initially through in-depth self-exploration, and how we operate internally—setting us apart from conventional companies and VC firms.

Reapra is looking for experienced legal counsels who are passionate about providing and developing Next Gen legal and governance support for early-stage investments.

The incumbent will be instrumental in supporting the development and execution of our group's legal and compliance framework and will be expected to provide investment, commercial, corporate, and compliance advice to Reapra and its Group regarding our portfolio companies, where applicable.

As part of the screening process, applicants will go through a discernment process called Intensive Foundation Design (IFD) where applicants will build a model of self-understanding as a personal blueprint to enhance their learning and work.

Through this discernment process, applicants will also get to know Reapra’s venture building methodology, called Mastery by Co-Creating with Society (MCCwS) to assess overlaps in their career direction with the Company’s mission and mission.

We highly encourage you to apply for this role if you are: (1) curious about participating in a fun and engaging self-discovery process to give some long-term direction in your career path, (2) enthusiastic about the role of Legal and Governance in organisations but would like to explore an alternative pathway beyond a typical corporate ladder, (3) interested in co-creating novel systems and frameworks of learning related to building long term, next generation businesses.

Join us to embark on a journey where you will help us redefine the venture space and build future industries!

Requirements

Duties & Responsibilities:

  • Support and manage the pre-incorporation to post-incorporation, as well as striking off or exit processes of portfolio companies.
  • Provide legal support for investment transactions across SEA, including but not limited to, drafting and negotiating Term Sheets, Subscription Agreements, Convertible Loan Agreements, and Shareholder's Agreements, in cooperation with the Investments team and foreign counsels where required.
  • Provide high-level commercial advice for commercial transactions and engagements of portfolio companies.
  • Provide legal support to the various teams in Reapra on commercial matters, including but not limited to, drafting and negotiating of NDAs, MOUs, Partnership Agreements, Services Agreements, and Licensing Agreements, for the group of entities in Singapore as well as SEA.

  • Effective Communication: Effective and confident communication is essential.

This includes a very high level of empathy and listening especially when managing very personal information alongside business considerations.
  • Independence and Co-Learning: The ability to work independently is crucial.

You should be self-driven and capable of taking initiative but you should also be able to co-learn with others.
  • Adaptability: Be comfortable without set tasks and willing to contribute across various functions.
  • Relevant Skills and Experience:
    • PQE - 3-8 years.

    • Strong knowledge of law and legal practices in Singapore.

Experience working in ASEAN markets will be well regarded.
    • M&A and/or investment experience in either a top-tier law firm or in an in-house capacity is beneficial.
